Dear ("Purchaser"), we hereby express our interest to enter into negotiations with you, as

("Seller") in respect of the possible acquisition (the "Proposed Acquisition") of

located at ("Property"). he Sellers and the Purchaser are hereinafter referred to collectively as the “Parties” and individually as “Party”.

尊敬的 (买方),我公司(卖方)在此表示有意与贵公司就可能的收购(拟议收购)进行谈判,该收购涉及位于 的资产(物业)。卖方和买方在下文中统称为双方,单独称为一方。



The purpose of this letter (the Letter of Intent) is to express the interest of the parties to further discuss on the Proposed Acquisition on a non-exclusive basis, hoping to reach an MOU of the Proposed Acquisition.

本意向书的目的在于表达双方在非排他性基础上进一步讨论拟议收购的意愿,以期达成拟议收购的谅解备忘录(MOU)。



The possible MOU shall set forth the principal terms of the Proposed Acquisition and provides an overall description of the Property confirmed by the Seller, including but not limited to the title, tenancies, insurance, disputes of the Property or other encumbrances on the Property, as well as the present state and condition of the Property. Details of the other terms and conditions of the Proposed Acquisition shall be discussed during the negotiation of the possible Legal Documents (Final Sales Agreement) between the parties.

可能的谅解备忘录将列明拟议收购的主要条款,并提供卖方确认的物业的总体描述,包括但不限于物业的产权、租赁、保险、争议或其他负担,以及物业的现状和条件。拟议收购的其他条款和条件的细节将在双方就可能的法律文件(最终销售协议)进行谈判时讨论。

The Purchaser intends to carry out a commercial, legal, financial, environmental, technical and tax due diligence relating to the Seller, the Property, and the development of the Property, as determined by the Purchaser in its sole discretion and to its full satisfaction (the Due Diligence).

买方拟进行与卖方、物业及物业开发相关的商业、法律、财务、环境、技术和税务尽职调查,该调查由买方自行决定并完全满意(尽职调查)。



Upon the Parties signing the Non-disclosure Agreement regarding the Proposed Acquisition, the Purchaser shall have its employed professional agencies, including but not limited to lawyers and accountants, to conduct the Due Diligence which shall be performed within a period of 60 days (the Due Diligence Period).

双方签署关于拟议收购的保密协议后,买方应让其雇佣的专业机构,包括但不限于律师和会计师,进行尽职调查,该调查应在60天内完成(尽职调查期)。



3. Access to information 3. 信息获取

The Seller shall make all of the existing documents in respect of the Proposed Acquisition (the Due Diligence Documents) available to the Purchase not later than 5 days after the Parties signing the Non-disclosure Agreement.

卖方应在双方签署保密协议后不迟于5天内,向买方提供所有与拟议收购相关的现有文件(尽职调查文件)。



4. Confidentiality 4. 保密

The Due Diligence Documents are subject to the confidentiality undertakings of the Purchaser defined under the Non-disclosure Agreement signed by the Parties on the date of .



尽职调查文件受双方于 (日期)签署的保密协议中定义的买方保密义务的约束。



5. Termination 5. 终止

At the end of the Due Diligence Period, the Parties shall meet with a view to agreeing on further steps towards completion of the Transaction, provided that the Purchaser intends to sign an MOU regarding the Proposed Acquisition. If the Purchaser intends otherwise, this letter will cease to have effect at the end of the Due Diligence Period.

在尽职调查期结束时,双方应会面以商定完成交易的后续步骤,前提是买方有意签署关于拟议收购的谅解备忘录。如果买方无意签署,本意向书将在尽职调查期结束时失效。



6. Costs and Expenses

Each of the Parties shall bear its own costs and expenses in connection with the matters raised in this Letter of Intent.

双方应各自承担与本意向书中所提事项相关的费用和开支。



7. Rights of third parties

This Letter of Intent does not have exclusive effect on either of the Parties to prevent each of them to negotiate with any third parties regarding the Property or the Proposed Acquisition.

本意向书对任何一方均无排他性效力,不妨碍任何一方与任何第三方就物业或拟议收购进行谈判。



8. Legal effect 8. 法律效力

Except for the Clause 3, Clause 4, Clause 5, Clause 6 and Clause 8 herein, nothing in this Letter of Intent shall be deemed to create or imply any obligation for either party hereto to enter into any contractual arrangements of any kind with any other party hereto or a third party.

除本意向书第3条、第4条、第5条、第6条和第8条外,本意向书中的任何内容均不得被视为或暗示为任何一方与任何其他方或第三方订立任何形式的合同安排的任何义务。



9. Warranty 9. 保证

The Seller shall guarantee the authenticity and validity of the Due Diligence Documents.

卖方应保证尽职调查文件的真实性和有效性。
